WEBTOON Fights Back: The Legal Battle Following Its Nasdaq IPO
The company formally denies allegations of misleading information in its IPO before a U.S. court.

A Formal Response to the Court
WEBTOON Entertainment has filed its first official defense before a U.S. federal court. In a legal document submitted, the company flatly rejects all accusations that its registration statement for the Nasdaq IPO contained false or misleading information. Its stance is clear: it denies all allegations in the lawsuit, except for those points it has expressly acknowledged.
The Core of the Controversy
The plaintiffs, investors who filed a class action lawsuit, argue that WEBTOON violated U.S. securities laws. The central argument revolves around two main axes. On one hand, they accuse the company of presenting excessively optimistic growth projections. On the other, they allege that it did not adequately disclose a decline in its Monthly Active Users (MAU) prior to its IPO.
The Underwriters in the Crosshairs
The lawsuit not only targets WEBTOON Entertainment. It also names nine underwriting banks for the IPO, including giants like JPMorgan Chase and Goldman Sachs. All of them have filed separate responses, echoing WEBTOON's position: they maintain that the disclosures were legal and not misleading.
The Path Traveled and What's Next
The case now enters a substantive phase, where factual disputes and potential liability will be examined. This moment comes after WEBTOON's stock price fell to a range below $10, far from its initial IPO price of $21. Earlier stages of the process focused on procedural issues, such as the consolidation of lawsuits and motions to dismiss.
Upcoming court debates will likely focus on two critical points. First, whether there was indeed a downward trend in MAU at the time of the public offering. Second, whether the currency risks associated with the Korean won should have been disclosed in greater detail. The court has already indicated that these merits need deeper examination, which is why it did not dismiss the case.
While the legal battle continues its course in the courts, WEBTOON Entertainment has chosen not to issue separate public statements about the litigation, letting its court documents speak for themselves.
